Welcome to ClarityCA. By accessing or using our software platform ("Service"), you agree to be bound by these Terms of Service. Please read them carefully.
1. Service Description
ClarityCA is a cloud-based practice management and reconciliation software designed specifically for Chartered Accountants and tax professionals in India.
2. User Responsibilities & Data Fiduciary Obligations
You are responsible for maintaining the confidentiality of your account credentials. Furthermore, you acknowledge that you act as the Data Fiduciary for all client financial data uploaded to our platform. You represent and warrant that you have obtained the necessary lawful consent from your clients to process their data through ClarityCA.
3. Beta Cohort & Service Availability
During our Beta release phase, the Service is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive for 99.9% uptime, we do not guarantee uninterrupted access and will not be liable for any temporary downtime.
4. Intellectual Property
All source code, design, branding, and underlying machine learning algorithms remain the exclusive property of ClarityCA. You are granted a limited, non-exclusive, non-transferable license to use the Service.
5. Limitation of Liability
To the maximum extent permitted by Indian law, ClarityCA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, arising out of your use of the Service. Our automated reconciliation engine provides suggestions and matches; the final professional judgment and statutory filing accuracy rests entirely with you, the Chartered Accountant.
6. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.
